Dual mandate audit - fiduciary
Legal entities are generally subject to mandatory auditing in Switzerland. Companies that are not subject to an ordinary audit and have fewer than 10 full-time employees on an annual average can waive the limited audit (so-called opting out). The shareholders or partners must pass such a resolution unanimously and the waiver of the audit must also be provided for in the articles of association.
For our fiduciary clients who meet the requirements for opting out, we recommend that they actually waive the audit.
If such a waiver is not possible, the Swiss Code of Obligations stipulates that the audit can be carried out by the same company that is involved in the bookkeeping, taking into account organizational and personnel separation. Due to the short communication channels, the audit can be carried out efficiently.
